Our services include document preparation and desktop publishing; dictation, transcription, and stenographic services (except court or stenographic reporting); typing, word processing, editing, technical editing, proofreading, letter writing, and resume writing; secretarial services; radio transcription; telephone answering, message, call forwarding, voice mailbox, wakeup call, and emergency dispatch services; local call centers; customer service call centers and online customer service centers; telemarketing bureaus and telephone solicitation on a contract or fee basis; floral wire services (telemarketing); and private mailbox rental centers. Telemarketing, answering, and dispatch services are subject to applicable communications and telemarketing regulations, which control where they conflict with these Terms.
We provide desktop publishing services (i.e., document preparation services), document preparation, document transcription, dictation, radio transcription, stenographic services (except court or stenographic reporting), transcription, typing, and word processing services.
We provide editing, technical editing, proofreading, letter writing, and resume writing services.
We provide secretarial and office support services, including correspondence, scheduling, filing, and administrative task handling.
We provide telephone answering services, answering services, message services, local call centers, telephone call forwarding, voice mailbox, wakeup call, and emergency telephone dispatch (contractor) services.
We provide customer service call centers, online customer service centers, telephone call centers, telemarketing bureaus, telemarketing services, and telephone solicitation services on a contract or fee basis, and floral wire services (telemarketing).
We operate private mailbox rental centers providing secure mail receiving, holding, and notification services.
The specific scope, deliverables, timelines, and pricing for any Engagement are defined in a separate service agreement or order. These Terms govern the general use of our Website and serve as baseline terms for all Engagements unless modified by a separate written agreement.
You are responsible for the accuracy, legality, and completeness of all Client Materials you provide. You represent and warrant that you have the right to provide Client Materials to us and that their use as directed by you will not violate any law or third-party right.
For telemarketing and telephone solicitation engagements, you are responsible for ensuring that call lists, scripts, and campaigns comply with applicable telemarketing laws, including consent, do-not-call, and disclosure requirements. We perform outreach as your agent per your instructions; compliance responsibility for list provenance and script content rests with you unless otherwise agreed in writing.
For answering, dispatch, and mailbox services, you are responsible for providing accurate instructions, contact lists, and forwarding information, and for keeping them current.
All Content on our Website is the property of Asses & Elbows Enterprises LLC or its licensors and is protected by Intellectual Property Rights. You may not reproduce, distribute, or exploit any Content without our prior written consent.
Documents, transcripts, and other Deliverables prepared for a Client become the Client's property upon payment in full, subject to our retention of archival copies as required by law or the service agreement. We retain ownership of our pre-existing templates, tools, and processes.
You retain ownership of your Client Materials. By providing them, you grant us a non-exclusive license to use, reproduce, and process them as necessary to perform the Services.
We may suspend or terminate Services for invoices unpaid more than sixty (60) days, subject to the service agreement and applicable law. Mailbox rental services may be suspended for non-payment per the rental agreement.
Confidentiality is fundamental to our business. We handle documents, recordings, messages, call content, customer lists, and mail with strict confidentiality.
Confidential Information includes documents, transcripts, recordings, message content, call recordings and logs, customer lists, campaign data, mail contents, and any other non-public information disclosed in the course of an Engagement.
We use Confidential Information solely to provide Services, protect it with reasonable care, and do not disclose it to third parties without consent, except as required by law, to bound employees and contractors, or per your instructions (e.g., delivering messages, forwarding calls, performing outreach).
Confidentiality obligations survive termination for five (5) years, or indefinitely for trade secrets.
We warrant that Services will be performed in a professional and workmanlike manner consistent with industry standards for business support services. Reported deficiencies brought to our attention within thirty (30) days of delivery will be corrected or credited at our option.
Our Website is provided "as is" and "as available." We disclaim all warranties, express or implied, to the fullest extent permitted by law.
Document services are provided based on Client Materials and instructions; we are not responsible for the accuracy of source content provided to us. Answering, dispatch, and messaging services are performed per client instructions; we are not liable for the content of messages relayed or actions taken by parties we contact on your behalf. Telemarketing results are not guaranteed.
Our Services do not constitute legal, medical, financial, or other professional advice. Transcription, typing, and secretarial services are administrative in nature.
Private mailbox services are provided subject to applicable postal regulations. We are not responsible for the contents of mail or packages received on your behalf, or for carrier delays or losses outside our control.
To the maximum extent permitted by applicable law, in no event shall Asses & Elbows Enterprises LLC be liable for any indirect, incidental, special, consequential, or punitive damages arising out of or related to the Website or Services. Our total aggregate liability shall not exceed the amount paid by you for the specific Services giving rise to the claim during the twelve (12) months preceding the event.
You agree to indemnify, defend, and hold harmless Asses & Elbows Enterprises LLC and its personnel from and against any claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of or related to your Client Materials, your instructions, your violation of these Terms, your violation of any applicable law (including telemarketing and communications regulations), or the rights of any third party.
These Terms are effective upon your first use of the Website or Services and remain in effect until terminated. Engagements may be terminated per the service agreement; absent other terms, either party may terminate with thirty (30) days written notice. Outstanding fees become due upon termination. Mailbox rentals terminate per the rental agreement; unclaimed mail is handled per postal regulations.
Provisions that by their nature should survive — including confidentiality, intellectual property, limitation of liability, and indemnification — survive termination.
These Terms are governed by the laws of the State of Wyoming, United States. Any legal action shall be brought exclusively in the federal or state courts located in Laramie County, Wyoming.

We shall not be liable for failure or delay caused by events beyond our reasonable control, including natural disasters, telecommunications outages, power failures, government actions, or labor disputes. If such an event continues more than thirty (30) days, either party may terminate the affected Engagement, with fees prorated.
These Terms, together with any service agreement and our Privacy Policy, constitute the entire agreement between the parties. If any provision is held invalid, the remainder continues in effect. No waiver is effective unless in writing.
